Acceptance of the Terms of Use

Please read these Strada API Library Terms of Use (“Terms”) carefully as they are a binding agreement between you and Strada Global (“Strada”).  By accessing or using any website or page which links to these Terms (“Website”), managed, and operated by Axiom U.S. Payroll, LLC, a limited liability company whose head office address is 8400 NW 36th St, Miami, FL 33166, and/or one of its subsidiaries and affiliates (collectively “Company”, “we”, “us”, and “our”). You agree that you have read and understood these Terms, accept and agree to be bound by these Terms, and to comply with applicable laws.

The Website contains a variety of information and resources including, but not limited to, information and resources relating to Application Program Interfaces ("APIs") (collectively the "Materials").

Please read these Terms carefully and fully each time you access or use the Website as these Terms periodically may change and may be revised at any time and from time to time in Strada's sole discretion by updating this link.  Certain provisions of these Terms may be superseded by legal notices or terms located on particular pages of the Website.

Accessing the Website

Strada reserves the right to withdraw or amend the Website, and any Materials, in its sole discretion without notice.  Strada will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period.  

You may be asked to provide information to Strada to register and create an account to access the Website.  From time to time, Strada may restrict access to some parts of the Website, or the entire Website, to users, including registered users.  Information you provide to Strada, as well as all other information collected about you when you visit the Website, will be governed by Strada's then-current Privacy Policy at https://stradaglobal.com/privacy-policy/.

The Website and its entire contents are owned by Strada or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and/or other intellectual property or proprietary rights laws.

Strada grants you permission to use the Website and the Materials solely for informational purposes to understand and evaluate the APIs, and you may print or download Materials and/or make a reasonable number of copies of thereof, solely for such purposes (and not for further reproduction, publication, or distribution).  Unless as expressly authorized by Strada in the foregoing sentence, you may not use the Website or any Materials for any other purpose nor copy, publish, display, distribute, alter or make derivative works of any Materials. You may not remove, alter, or obscure any proprietary notices on any Materials.

APIs

This Website is intended to provide information about APIs.  Access to and/or use of APIs shall be provided under, and governed by, a separate written agreement between Strada and you or your organization.  Except as may be expressly agreed otherwise in a written agreement between Strada and you or your organizations, Strada may revise or cease to provide or support APIs without notice at any time in Strada's sole discretion.

Governing Law/Forum

You agree that these Terms and any legal action or proceeding relating to this site shall be governed by the laws of the State of Florida, USA without reference to its choice of law rules.  By using this Website, you agree that any legal proceedings related to this Website or these Terms must be the courts in Miami-Dade County, Florida, USA which have exclusive jurisdiction.
